MandarinRise Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and MandarinRise ("MandarinRise," "we," "our," or "us") governing your use of our app, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account

You must comply with applicable laws and platform requirements to use the Service.

You are responsible for:

  • Providing accurate account information
  • Maintaining the security of your device and account credentials
  • All activity under your account

We may suspend, limit, or terminate access at any time for any reason, including suspected abuse, fraud, policy violations, legal risk, or operational need.

2. License and Restrictions

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial learning purposes.

You may not:

  • Copy, sell, sublicense, reverse engineer, scrape, or exploit the Service except as allowed by law
  • Interfere with security, availability, integrity, or normal operation
  • Use bots, automation, or unauthorized means to access or manipulate the Service
  • Use the Service to violate law or third-party rights

3. Subscriptions, Billing, Renewals, and Refunds

A. Paid Plan

MandarinRise offers paid subscription features (e.g., Super features).

B. Billing and Auto-Renewal

  • Subscriptions are billed through Apple (App Store) under Apple's billing terms.
  • Unless canceled before renewal, subscriptions auto-renew for the same period.
  • You can cancel anytime through your App Store subscription settings to prevent future renewals.

C. No Refund Policy

To the maximum extent permitted by law:

  • All payments are final.
  • We do not provide refunds, credits, or prorated reimbursements once payment is processed.
  • No refund is provided after access to or use of Super/premium features.
  • We provide substantial free functionality so users can evaluate the app before subscribing.

Any exception, if available, is solely at our discretion or as required by applicable law/platform rules.

4. Free and Paid Feature Access

Features, limits, and entitlements may differ between free and paid tiers. We may add, remove, or modify features at any time.

Subscription status and entitlement decisions are based on platform and/or backend validation.

5. User Content and Submissions

If you submit feedback, issue reports, suggestions, room notes, nicknames, or other content, you grant MandarinRise a worldwide, royalty-free, perpetual, irrevocable, sublicensable right to use, copy, modify, adapt, publish, and commercialize that content for operating, improving, and promoting the Service.

You represent you have all rights needed to submit such content.

6. Social/Room Features

Study rooms and shared content are provided as-is.

We may moderate, restrict, edit, remove, or disable rooms, members, packs, notes, or related content at any time, with or without notice.

We are not responsible for user behavior, user-generated content, or third-party interactions.

7. Intellectual Property

The Service, including software, design, branding, text, media, learning structure, and related materials, is owned by MandarinRise or its licensors and protected by law.

No ownership rights are transferred to you.

8. Availability and Changes

We may change, suspend, or discontinue any part of the Service at any time, with or without notice.

We do not guarantee uninterrupted availability, error-free operation, or ongoing support for any feature, device, region, or version.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.

MandarinRise does not guarantee specific learning outcomes, test results, proficiency gains, or uninterrupted access.

10. Limitation of Liability

To the maximum extent permitted by law, MandarinRise and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity.

Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to MandarinRise for the Service in the 12 months before the event giving rise to the claim (or USD $50 if greater limitation is required by law).

11. Indemnification

You agree to defend, indemnify, and hold harmless MandarinRise and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your breach of these Terms.

12. Termination

We may terminate or suspend your access immediately, with or without notice, for any reason.

Upon termination, your right to use the Service ends immediately, but provisions that by nature should survive (including ownership, disclaimers, limitations, indemnity, dispute provisions, and payment obligations) will survive.

13. Governing Law and Disputes

These Terms are governed by applicable law in the jurisdiction designated by MandarinRise legal notices, without regard to conflict-of-law rules.

You agree that disputes may be resolved in courts selected by MandarinRise, unless mandatory law requires otherwise.

14. Changes to These Terms

We may modify these Terms at any time, with or without notice, in our sole discretion.

  • The current version will be available through app settings.
  • We do not guarantee advance notice, individual notice, or specific notice of updates.
  • Continuing to use the Service after changes are effective means you accept the updated Terms.
